Runcorp Inc.("RUNN") Announces Acquisition Agreement

CALGARY, Alberta - April 10, 2002 - Runcorp Inc. (OTCBB: - RUNN) today announced that it has reached an agreement in principal to acquire Hyperbaric Oxygenation Corporation (HOC). The Agreement, subject to the approval of the shareholders of Hyperbaric Oxygenation Corp., calls for the issuance of 12,500,000 common shares of Runcorp.

HOC is a leader in "science-based, natural medicine" and has through its operating subsidiary, HOC Health System has four clinics serving Seattle, Washington and Vancouver, Victoria, and Keloima, BC. The HOC centers are staffed with thoroughly trained health care practitioners who are knowledgeable in both natural and conventional medicine, as well as in HOC's advanced treatment protocols.
